Block Foundation Community - Contributor License Agreement (CLA)

Preamble

This Contributor License Agreement ("Agreement") sets out the terms under which you, the contributor, grant the Block Foundation ("the Foundation") a license over the contributions you make to the projects and initiatives of the Foundation. This Agreement is made between you, the individual or entity wishing to contribute, and the Foundation.

1. Definitions

1.1 "Contribution" refers to any code, algorithm, data, text, media, or other works of authorship that you wish to submit to the Foundation.

1.2 "Project" refers to any of the open-source projects owned or managed by the Foundation.

2. Grant of Rights

2.1 Copyright License

Subject to the terms and conditions of this Agreement, you hereby grant to the Foundation and to recipients of software distributed by the Foundation a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute your Contributions and such derivative works.

2.2 Patent License

You hereby grant to the Foundation and to recipients of software distributed by the Foundation a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions, where such license applies only to those patent claims licensable by you that are necessarily infringed by your Contribution alone or by combination of your Contribution with the Project to which this Contribution was submitted.

3. Representations

You represent that you are legally entitled to grant the above license. If your employer(s) has rights to intellectual property that you create, you represent that you have received permission to make the Contributions on behalf of that employer or that your employer has waived such rights for your Contributions to the Foundation.

4. Disclaimer

Unless required by applicable law or agreed to in writing, you provide your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.
