1. The Software is and remains the property of the Isis Innovation Limited (“Isis”) a wholly owned subsidiary of the University of Oxford ("the University"). Any person using the Software (“the Licensee”) is only licensed to do so on the terms of this Licence and the Licensee will ensure that the copyright notice set out above appears prominently wherever the Software is reproduced, modified, transmitted or transferred in any form.
2. The Software is distributed "AS IS" under this Licence solely for non-commercial use in the hope that it will be useful, but in order that the University as a charitable foundation protects its assets for the benefit of its educational and research purposes, Isis makes clear that no condition is made or to be implied, nor is any warranty given or to be implied, as to the accuracy of the Software, or that it will be suitable for any particular purpose or for use under any specific conditions. Furthermore, Isis disclaims all liability for any use which is made of the Software or for the outcomes arising from using the Software.
3. The Licensee agrees to indemnify the University and Isis and hold them harmless from and against any and all claims, damages and liabilities asserted by third parties (including claims for negligence), which arise directly or indirectly from the use of the Software.
4. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this Licence.
5. The Licensee is only permitted to use the Software solely for non-commercial use and is not permitted under this Licence to use, reproduce, modify, transmit or transfer in any form or by any means the Software commercially for any financial return (“Commercial Use”), including but not limited to:
a. integration of all or part of the preferred form of the Software for making modifications to it (“Source Code”) or the Software into a product for sale or license by or on behalf of Licensee to third parties; or
b. use of the Software or any derivative of it for research with the final aim of developing software products for sale or license to a third party or;
c. use of the Software or any derivative of it for research with the final aim of developing non-software products for sale or license to a third party; or
d. use of the Software to provide any service to an external organisation for which payment is received.
6. The Licensee may only reproduce, modify, transmit or transfer the Software where:
a. such reproduction, modification, transmission or transfer is for academic, research or other scholarly use and not for Commercial Use;
b. the conditions of this Licence are imposed upon the receiver of the Software or any modified Software;
c. all original and modified Source Code is included in any transmitted software program; and
7. Any addition, contribution to or modification of the Software provided by a Licensee to Isis or the University will be provided under an irrevocable, indefinite, royalty free, non-exclusive unlimited licence for Isis and the University to use, reproduce, distribute and sub-licence any modified or additional Source Code as part of the Software.
